Terms of Service

These Terms govern services provided by Proverlan LLC (“Provider”) to the client (“Client”). A Statement of Work (SOW) defines scope, deliverables, timelines, acceptance criteria, and fees.

Engagement & Payment

• Work begins upon SOW acceptance and initial invoice payment (if applicable).
• Invoices are due within 7 days unless specified otherwise in the SOW.
• Late payments may pause delivery until resolved.

Intellectual Property

Upon full payment, Client receives ownership of deliverables as defined in the SOW, excluding pre-existing IP, open-source components, and third-party services.

Warranties & Liability

Services are provided “as is”. Provider’s total liability is limited to the amounts paid for the specific SOW in the preceding 3 months.

Compliance

Client remains responsible for industry compliance (e.g., PCI/HIPAA) unless explicitly contracted in the SOW for compliance services.
